Acceptance of Terms

  • By accessing or using ProposalMatrix, you agree to be bound by these Terms of Service and our Privacy Policy.
  • If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Description of Service

  • ProposalMatrix is an AI-powered proposal management platform for government contractors. It provides compliance matrix building, AI-assisted draft generation, review workflows (Pink/Red/Gold Team), evidence library management, and export capabilities.
  • We reserve the right to modify, suspend, or discontinue features with reasonable notice. We will not materially reduce core functionality during an active subscription period.

Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must provide accurate, current information when registering and keep it updated.
  • You are responsible for ensuring that your use of ProposalMatrix complies with applicable laws and your organization's policies.

Acceptable Use

  • You may not use ProposalMatrix for any unlawful purpose or in violation of these terms.
  • You may not attempt to gain unauthorized access to our systems, other accounts, or third-party data.
  • You may not upload content that infringes intellectual property rights, contains malware, or violates privacy laws.
  • You may not abuse the service (e.g., excessive API calls, automated scraping) or interfere with its operation.

Intellectual Property

  • You retain full ownership of all content you upload — including RFPs, SOWs, past performance narratives, resumes, and other documents.
  • You retain ownership of all proposal content you create, including compliance matrices, section drafts, and generated proposals.
  • ProposalMatrix grants you a limited license to use the platform and its features during your subscription. Our software, branding, and documentation remain our intellectual property.

AI-Generated Content Disclaimer

  • ProposalMatrix uses AI to assist with requirement extraction and proposal drafting. AI output is intended to support your work, not replace human judgment.
  • Human review is required: all AI-generated content should be reviewed, edited, and approved by qualified personnel before submission.
  • Not legal or compliance advice: AI output does not constitute legal, regulatory, or compliance advice. You are responsible for ensuring your proposals meet all applicable requirements.

Payment Terms

  • Subscription fees are billed in advance (monthly or annually) according to your selected plan.
  • You may cancel at any time; access continues until the end of the current billing period.
  • Refunds are not provided for partial periods. We may change pricing with 30 days' notice; price changes apply at renewal.

Limitation of Liability

  • ProposalMatrix is provided "as is." We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.
  • Our liability is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
  • We are not liable for proposals that fail to win contracts, compliance issues arising from your use of AI output, or third-party actions.

Termination

  • We may suspend or terminate your account for material breach of these terms or for non-payment.
  • You may terminate your account at any time through account settings or by contacting support.
  • Upon termination, you may export your data during a grace period. After that, we will delete your data in accordance with our Privacy Policy.
